NEURELECT TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Neurelect platform, software, applications, tools, data products, and related services (collectively, the “Services”), operated by Neurelect, LLC, a Florida limited liability company with its principal place of business in Nassau County, Florida (“Neurelect,” “we,” “us,” or “our”).

1. ACCEPTANCE OF TERMS

By accessing, registering for, or using the Services in any manner, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies incorporated by reference.

If you do not agree, you may not access or use the Services.

2. ELIGIBILITY

You represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding agreement;
• Your use of the Services complies with all applicable laws, regulations, and ethical obligations.

Neurelect reserves the right to suspend or terminate access at its sole discretion.

3. DESCRIPTION OF SERVICES

Neurelect provides data analytics, research tools, probabilistic modeling, survey technology, and political or civic intelligence software. The Services may include access to voter registration data sourced from public records, analytical insights, confidence scores, engagement metrics, and user-generated inputs.

Neurelect does not guarantee the accuracy, completeness, or currentness of any data provided.

4. NO LEGAL, CAMPAIGN, OR COMPLIANCE ADVICE

Neurelect does not provide legal advice, campaign compliance advice, election law guidance, or TCPA compliance determinations.

You are solely responsible for:

• Compliance with all federal, state, and local laws;
• Campaign finance laws;
• Election laws;
• Communications laws, including but not limited to TCPA, FCC rules, and carrier policies.

5. DATA SOURCES & DISCLAIMERS

• Data may be derived from public records, third-party providers, user submissions, or analytical processes.
• Phone numbers, contact details, and confidence scores are probabilistic and inferential, not assertions of ownership, verification, or consent.
• Neurelect does not represent or warrant that any individual can be lawfully contacted.

6. USER RESPONSIBILITIES

You agree that you will:

• Use the Services only for lawful purposes;
• Not rely on the Services as a sole source of truth;
• Independently verify compliance obligations;
• Not misuse, scrape, reverse engineer, or exploit the Services;
• Not resell, sublicense, or commercialize the Services without written authorization.

7. ACCOUNT SECURITY

You are solely responsible for maintaining the confidentiality of your account credentials. Neurelect is not liable for unauthorized access resulting from your failure to secure your credentials.

8. INTELLECTUAL PROPERTY

All intellectual property rights in the Services belong exclusively to Neurelect. No rights are granted except as expressly stated.

You receive a limited, non-exclusive, revocable, non-transferable license to use the Services solely for your internal purposes.

9. USER CONTENT

You retain ownership of content you submit, but you grant Neurelect a perpetual, irrevocable, royalty-free, worldwide license to use, store, analyze, modify, and display such content for the operation and improvement of the Services.

10. TERMINATION

Neurelect may suspend or terminate access at any time, with or without notice, for any reason or no reason.

Upon termination:

• All licenses immediately terminate;
• Neurelect has no obligation to retain or return data.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

NEURELECT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• NON-INFRINGEMENT;
• ACCURACY;
• AVAILABILITY;
• RESULTS OR OUTCOMES.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL NEURELECT, ITS OWNERS, MEMBERS, MANAGERS, PARTNERS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY;
• CAMPAIGN FAILURES, REGULATORY PENALTIES, OR COMMUNICATION VIOLATIONS.

TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID TO NEURELECT BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. INDEMNIFICATION (MAXIMUM PROTECTION)

You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS Neurelect and its owners, managers, members, partners, officers, employees, contractors, and affiliates from and against ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, FINES, PENALTIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS’ FEES) arising from or related to:

• Your use or misuse of the Services;
• Any communications you send or cause to be sent;
• Any violation of law or regulation;
• Any allegation that your conduct violated third-party rights;
• Any regulatory or enforcement action (including TCPA, FCC, or election authorities);
• Any data you upload, process, or act upon using the Services.

This obligation survives termination.

14. NO THIRD-PARTY BENEFICIARIES

These Terms confer no rights on any third party.

15. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Exclusive venue for any dispute shall be state or federal courts located in Nassau County, Florida, and you consent to personal jurisdiction therein.

16. INJUNCTIVE RELIEF

You acknowledge that unauthorized use may cause irreparable harm. Neurelect may seek injunctive relief without posting bond.

17. SEVERABILITY

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Neurelect and supersede all prior agreements or understandings.

19. MODIFICATIONS

Neurelect may modify these Terms at any time. Continued use constitutes acceptance.
